Overview

Midas operates a cryptocurrency trading platform focused on decentralized technologies on all major blockchains. We provide a website and related services (collectively, the "Platform") enabling users to trade digital assets, connect wallets, access decentralized exchanges and liquidity protocols, and utilize additional functionality.

Agreement Acceptance

By accessing or using the Platform, you accept these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Midas. We may modify these Terms at any time by posting the revised version on the Platform. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after modifications become effective constitutes acceptance of the revised Terms.

Eligibility

To use the Platform, you must:

• Be of legal age in your jurisdiction (at least 18 years of age or the age of majority)
• Have the legal capacity to enter into binding agreements
• Not be located in a jurisdiction where cryptocurrency trading is prohibited
• Not be subject to sanctions or government restrictions that prohibit engaging in financial transactions
• Comply with all applicable laws and regulations in your jurisdiction

We reserve the right to suspend or terminate accounts for inaccurate information or violations of these Terms.

Account and Wallet Security

You acknowledge and agree that:

• You are solely responsible for maintaining the security of your wallet, private keys, and seed phrases
• You are responsible for all activities conducted through your connected wallet on the Platform
• Midas does not store, have access to, or secure your private keys, seed phrases, or wallet credentials
• We are not responsible for any loss resulting from unauthorized access to your wallet or compromised credentials
• You must not share your wallet credentials or recovery phrases with anyone

Platform Services

Midas provides a platform for cryptocurrency trading and related services on all major blockchains. Our services may include:

• Token swaps and trading functionality
• Access to decentralized liquidity pools
• Portfolio tracking and analytics
• Integration with decentralized finance (DeFi) protocols

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

Risk Disclosure

By using the Platform, you acknowledge and accept that:

• Price Volatility: Cryptocurrency prices are highly volatile and can fluctuate dramatically in short periods. You may lose some or all of your invested capital
• Irreversible Transactions: All transactions on the blockchain are final and irreversible. Midas cannot reverse, cancel, or modify any confirmed transaction
• Smart Contract Risk: Interactions with smart contracts carry inherent risks including bugs, exploits, and vulnerabilities that may result in loss of funds
• Liquidity Risk: Some tokens may have limited liquidity, making it difficult to execute trades at desired prices
• Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and may change, affecting your ability to use the Platform or the value of your assets
• Technology Risk: Blockchain networks may experience congestion, downtime, or technical issues that affect transaction processing
• No Guarantees: Past performance does not guarantee future results. Midas makes no representations regarding the potential profitability of any trade

You should only trade with funds you can afford to lose. We strongly recommend consulting with a financial advisor before engaging in cryptocurrency trading.

Fees and Transactions

• Trading fees and transaction costs will be disclosed before you confirm any transaction
• Network fees (gas fees) are determined by the underlying blockchain network and are not controlled by Midas
• Fee estimates provided are preliminary only. Midas is not liable for inaccurate fee projections
• All transactions on the blockchain are final and irreversible
• We are not responsible for failed transactions due to network congestion or insufficient funds

Prohibited Activities

You agree not to:

• Use the Platform for money laundering, terrorist financing, or other illegal activities
• Manipulate markets through wash trading, spoofing, or other deceptive practices
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Interfere with or disrupt the Platform's infrastructure or availability
• Use bots, scrapers, or automated tools without authorization
• Circumvent any security measures or access controls
• Violate any applicable sanctions laws or transmit stolen digital assets
• Impersonate others or provide false information
• Violate intellectual property rights or any applicable laws or regulations

Third-Party Services

The Platform may provide links to or integrate with third-party services, including wallet providers, decentralized exchanges, and DeFi protocols. You acknowledge that:

• Midas does not control third-party services and is not responsible for their content, functionality, or practices
• You assume all risk from interactions with third-party functionality and decentralized exchanges
• Midas cannot freeze, reverse, or modify transactions executed through third-party protocols
• Third-party services are governed by their own terms and privacy policies

Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by Midas or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of any content you upload while granting Midas a worldwide license to use it in connection with operating the Platform.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free operation
• Security of the Platform or your data

Midas is not a registered financial institution, broker-dealer, custodian, or investment advisor. Nothing on the Platform constitutes financial, investment, or trading advice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses or missed opportunities
• Loss of profits, revenue, data, or goodwill
• Actions of third parties, including other users or smart contracts
• Errors, bugs, or vulnerabilities in the Platform or blockchain
• Unauthorized access to or alteration of your data or transactions

Our total liability shall not exceed one hundred dollars ($100 USD) or the fees you paid to us in the twelve (12) months preceding the claim, whichever is greater.

Dispute Resolution and Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding individual arbitration rather than in court. Class actions and class arbitrations are not permitted.

Before initiating arbitration, you agree to first attempt informal resolution by contacting us. If the dispute is not resolved within sixty (60) days, either party may proceed with arbitration.

You may opt out of the arbitration requirement by sending written notice to us within thirty (30) days of first accepting these Terms.

Indemnification

You agree to indemnify, defend, and hold harmless Midas and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Arbitration shall be governed by the Federal Arbitration Act.

Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
